Off market deals simple means shares change hands between a willing buyer and a willing seller without going through the trading system of the market. Such deals are normally fairly large.
Each transaction has its own reason. Probably one of the reason is that either one or both parties of the transaction do not want the market price to be disturbed. Another reason is to save commission.

But Ben, don't they need permission from the Bursa for such a deal?

Whether they need permission from Bursa or not depends on the type of industry involved. I think in the case of Banks or other financial institutions or Telcos like TM, permission from the Government or Bursa is required. It also depends on the amount of shares involved.
An example of an off-market deal is the sale of shares in PPerdana to Swan Symphany from E & O Bhd.

How it is done? If you are the seller, simple notify your broking house who the buyer who is waiting and the broking house, they will coordinate among broker. The price is has to be within a range approved by Bursa. If mkt didn plunge, Ppl do tis close to buying price not to incur losses. If a big block is put for crossing, it is normally a new major shareholder appear. Depend on wat the purpose the crossing is done. In 1996, it was done to prevent losses esp. if the share is illiquid and the buyer got no cash to pick-up end of contra..pass to another broking house or account tarik one more week..kekeke
